UNIVERSITY VALUES ADVERTISING AGREEMENT

Effective as of September 1, 2012.

This Agreement is made and entered into between University Values Inc. and the Advertising Client (collectively referred to as parties) as of the date of execution. This Agreement may be modified from time to time by University Values Inc. (an "Amendment"). Client will be notified by email or mail if any changes to this agreement are made. The terms of any Amendment executed during this Agreement will be subject to the terms of this Agreement unless otherwise stipulated in the Amendment. In consideration of the mutual promises, covenants and agreements contained in this Agreement, the parties agree as follows:

1. DEFINITIONS

1.1 "Advertising Media Page" is defined as the proprietary and copyrighted Advertising Sales webpage or printed materials that University Values provides to prospective Client.

1.2. "Client" is defined as anyone who enters into this agreement with University Values Inc. and/or purchases advertising products or services from University Values Inc.

1.3. "End User" is defined as the person or entity that accesses the University Values website or mobile phone applications or who accesses University Values for coupon usage, social media, or other enjoyment purposes.

1.4. "Client Coupon Center" is defined as the advertisers electronic coupon management system on the universityvalues.com website where Client can update, purchase, and manage their advertising options, account settings, and details.

1.5. "Auto-Renew" is defined as the option where Client chooses to automatically renew the subscription and all associated advertising options at the end of the pre-paid term. Client is entitled to receive the same advertising rate for up to two years from when the Auto-Renew option is first selected so long as advertising services are continuous without interruption. Thereafter, the rate will adjust to the current advertising rate. Client will be automatically billed at the end of each term. Auto-Renew may be suspended or cancelled at any time before the renewal date by logging into the Client Coupon Center and changing the setting or by providing written notice via certified mail to University Values.

2. WEBSITE USER TERMS OF SERVICE AND PRIVACY POLICY

2.1. Client has read, understands and agrees to the User Terms of Service and Privacy Policy of the universityvalues.com website. The Terms of Service and Privacy Policy may be obtained by written request via certified mail to University Values, or by clicking on the self-titled links in the footer of the universityvalues.com website homepage.

3. ADVERTISING SERVICES

3.1. Advertising services available from University Values may include but is not limited to electronic coupons with varied featured business options and subscription terms. Client understands the full scope and details of all products and services purchased from University Values. Product and service details are available through the online checkout process or from a University Values Consultant. University Values will provide Client with access to the Client Coupon Center to purchase and manage electronic coupons. Client can access the Client Coupon Center by setting up an account with a username and password. Client is responsible for keeping all account information confidential and will notify University Values if any fraudulent or unauthorized use of Client account is suspected. Client agrees to provide factual account registration information and keep account information current and continually updated; such as billing, contact, and coupon advertising information. University Values reserves the right to suspend or terminate any account that is believed to be inaccurate, incomplete, or falsified in any way. Client enters into free agreement with University Values and understands that University Values may conduct business with Client competitors.

3.2. Free consultations with University Values or its affiliated professional partners about Website Optimization, SEO, Mobile App Creation, and Social Media Development are available. If these products or services are purchased, they will be contracted through different respective agreements and be considered separate from this agreement.

4. ADVERTISING REQUIREMENTS

4.1. University Values, in its sole discretion, reserves the right to suspend, terminate, or require changes for any coupon or company logo submitted to University Values for electronic or print publishing that is not found to be in good taste or appropriate for the End User. University Values will attempt to contact Client if a coupon is suspended, terminated, or requires changes due to inappropriate content.

5. TERM AND TERMINATION

5.1. The term of this Agreement is the same as the length of the advertising term selected by Client at checkout. The subscribed advertising term selected will start seven days after executing this agreement. Client coupon publishing availability will become immediately live and available to End Users at the time of payment. If Auto-Renew is selected, this Advertising Agreement along with all advertising options and associated prices will automatically renew for an another term, continually until canceled by Client.

5.2 Client may terminate this agreement at any time and for any reason by providing University Values with written notice via certified mail. If Client terminates this agreement, pre-paid fees to University Values will be refunded pro-rata, minus the minimum service fee. University Values may also terminate this agreement at any time and for any reason by providing Client with written notice via certified mail. If University Values terminates this agreement, pre-paid fees to University Values will be returned pro-rata for the remainder of the pre-paid service(s) term. Termination shall not relieve either Party of any obligations incurred prior to termination. Upon termination, University Values agrees to (i) cease all promotions of Client services; (ii) cease making Client services available in or through universityvalues.com and the University Values mobile apps. Upon written request via certified mail, University Values will promptly destroy or return all copies (electronic or written) of the content, technology, and any other confidential or proprietary information in University Values possession or control. Without limiting the foregoing in any way, the Parties agree that following termination, each Party may continue to make their products/services available directly to users subscribing to the product/service prior to termination, without any liability or obligation to the other Party.

6. WARRANTIES; DISCLAIMER

6.1. Each Party represents and warrants to the other that: It has the full corporate right and authority to enter into this Agreement and to perform the acts required of it hereunder; The execution of this Agreement by such Party and the performance by such Party of its obligations and duties hereunder do not and shall not violate any other Agreement to which such Party is a Party or by which it is otherwise bound; When executed and delivered by such Party, this Agreement shall constitute the legal, valid and binding obligation of such Party, enforceable against such Party according to Its terms; Such Party acknowledges that the other Party makes no representations, warranties, or Agreements related to the subject matter hereof that are not expressly specified in this Agreement.

6.2. Disclaimer. EXCEPT AS EXPRESSLY SET FORTH HEREIN, NEITHER PARTY MAKES AND EACH PARTY HEREBY DISCLAIMS ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PRODUCTS AND SERVICES CONTEMPLATED BY THIS AGREEMENT, INCLUDING ANY IMPLIED WARRANTY OF NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE.

7. LICENSES

7.1. Client provides University Values a non-exclusive, non-transferable, royalty-free license to use Client trade names, trademarks, logos and service marks (collectively Marks) in connection with the performance of this Agreement. Nothing in this Agreement shall confer upon University Values any title or interest in any of the Marks or goodwill of Client. University Values acknowledges that Client Marks and any related goodwill are the sole and exclusive property of Client. University Values agrees that it shall cease using Client Marks immediately upon written request via certified mail.

8. PAYMENT

8.1. Payment for advertising services is made on the universityvalues.com website checkout via credit card or electronic check or by phone with a University Values Advertising Consultant. The minimum service fee is 75% of the total contracted sale of advertising services and is non-refundable. The minimum service fee has been established due to Client receiving substantial advertising discounts for subscribing to longer terms or multiple markets. Any returned payments will be accessed a $30 NSF fee. Any and all past due balances will accrue interest at 15% APR until the entire account balance is paid in full. All fees are due at the time of this Agreement. Client is responsible for any and all taxes. University Values does not withhold taxes for advertising services.

9. CONFIDENTIALITY AND NON-DISCLOSURE

9.1. Confidential Information includes without limitation: Business records and plans, trade secrets, copyrights, other intellectual property, and any other proprietary information.

9.2. Confidential Information does not include matters of public knowledge or business contact information including email addresses, phone numbers, or business mailing addresses.

9.3. Client understands and acknowledges that the Confidential Information has been developed or obtained by University Values by the investment of significant time, effort and expense, and that the Confidential Information is a valuable, special and unique asset of University Values which provides University Values with a significant competitive advantage, and needs to be protected from improper disclosure. In consideration for the disclosure of the Confidential Information, Client agrees to hold in confidence and to not disclose the Confidential Information to any person or entity without the prior written consent of University Values.

9.4. In addition, Client agrees that:


9.4.1.A. No Copying/Modifying. Client will not copy or modify any Confidential Information without the prior written consent of University Values.

9.4.1.B. Application to Employees. Further, Client shall not disclose any Confidential Information to any employees except those employees who are required to have the Confidential Information in order to perform their job duties in connection with the limited purposes of this Agreement. Each permitted employee to whom Confidential Information is disclosed shall sign a non-disclosure agreement substantially the same as this Agreement at the request of University Values.

9.4.2. If Client requests a consultation regarding Website Optimization, SEO, Mobile App Creation, or Social Media Development, University Values may share relevant business information with trusted 3rd parties for the purposes of assisting Client with product and service suitability and selection.

10. LIMITED LIABILITY

10.1. Client agrees to release, indemnify and hold harmless University Values and its owners from any and all losses, damages, expenses and claims resulting in whole or part, directly or indirectly, from services rendered. University Values is not responsible for damages arrising from End User usage of Client coupons. University Values is not responsible for 3rd parties who have copied or otherwise taken and promoted or used Client coupons from publically available University Values advertising platforms. University Values is not responsible for any fraudulent action that may take place on Client accounts.

11. ARBITRATION

11.1. The parties recognize disputes and differences may arise between the parties and agree it is in their best interest to appoint an arbitrator to resolve such disputes. The parties agree to refer the following matters and responsibilities to the Arbitrator:The Arbitrator shall direct the parties to file statements of their respective claims, legal submissions and reliefs claimed and each party to file his statement of defense in reply to the statements of claims of others. The Arbitrator shall allow the parties to produce documents in support of their claims.

11.1.1. To resolve all disputes and differences under the original contract.

11.1.2. To review the terms of the contract and determine the amount payable by one party to the other, if any.

11.1.3. To make provisions for the payment of debts and liabilities of the business.

11.2. The Arbitrator shall not be bound to take oral evidence but if any party or their witness is examined he will be allowed to be cross-examined.

11.3. The Arbitrator shall make their award within three months from their entering upon the reference but can extend the period from time to time with the consent of all the parties hereto obtained in writing.

11.4. In the event of any party refusing to participate in the Arbitration proceedings or remaining absent without valid cause, the Arbitrator shall have power to precede ex-parte against such party.

11.5. The costs of the Arbitration proceedings will be divided in the discretion of the Arbitrators.

11.6. The maximum amount that University Values may be penalized is the total amount Client has paid to University Values for advertising services.

12. COMPETING BUSINESS

12.1. Client agrees to keep all correspondence and documentation received from University Values confidential and not share with University Values competitors including but not limited to advertising or marketing businesses. Moreover, Client agrees to keep the Advertising Media Page and Client login information confidential and protected from any organization or person operating in a competing advertising business.

13. PUBLICITY

13.1. The Parties are permitted to promote each other as opportunities arise to promote the others brand, including the use of company marks.

14. MISCELLANEOUS

14.1. Entire Agreement. This Agreement constitutes the entire understanding and agreement between the parties with respect to the transactions contemplated, and supersedes any and all prior or contemporaneous oral or written representation, understanding, agreement or communication between the Parties concerning the subject matter hereof.

14.2. Force Majeure. Except for Merchant's obligations to pay University Values hereunder, neither party will be liable to the other party for any failure or delay in performance under this Agreement caused by reasons beyond its reasonable control.

UNIVERSITY VALUES COUPON TERMS & RESTRICTIONS:

To make sure that University Values will continue to be of value to the students who use the app and website, every coupon will be reviewed before it is approved to go live on the website and app. Please see the restrictions listed below so your coupon will be approved the first time around. Thank you.

No Adult XXX Material or Prohibited Items

University Values is a professor-friendly app and website, therefore all coupons must also be professor-friendly. We will not approve any coupon if it advertises any adult xxx material or prohibited product or service.

No Offensive Language

Sometimes it can be funny, but if the word you use in your coupon would offend your Grandma it’s a safe bet that we won’t approve your coupon. Your coupon won’t be approved if it contains language that, in our opinion, is offensive in nature. This includes, but is not limited to, language that is abusive, racially oriented, discriminatory, or obscene.

Coupon Must Feature a Discount

University Values users expect to find coupons on the app and website, not placeholders or store announcements. Your coupon won’t be approved if it does not clearly contain a way for the student to save money.

No Unauthorized Trademarks or Copyright Materials

Coupons won’t be approved if they contain a trademarks or copyrighted materials not owned by the merchant that the coupon is for. This includes, but is not limited to, competitor names and marks, copyrighted slogans, and other trademarked words and phrases. Moreover, you take full responsibility for any use of these marks. University Values is not responsible for permission to use marks but will still try to identify illegal usage when approving your coupon.

Other Restrictions

If your coupon doesn’t contain any of the above material it is likely to be approved, there are probably some cases we haven’t thought about. Because of that, University Values reserves the right to not approve any coupon for any reason.
